Advertiser Booking Terms: Outline (DRAFT)

Ad-MOTO Pty Ltd (ABN [TBC]) · Last updated 13 October 2026

1. Parties and documents

  • Ad-MOTO Pty Ltd ("Ad|MOTO") and the advertiser or the agency booking on its behalf (the "Advertiser"). An agency books as principal unless the IO says otherwise.
  • Each booking is made through an IO setting out the campaign, cities or zones, dates, day-parts, share of voice, number of units, price and any add-ons.
  • Order of precedence: the IO, then the Advertiser Terms, then the published specifications.

2. Bookings

  • A booking is confirmed when both parties sign the IO, or when Ad|MOTO confirms it in writing.
  • All bookings are subject to inventory availability, rider and fleet availability, and content approval.
  • Campaign delivery is reported by unit GPS and play logs. Delivered plays may vary from booked plays because of traffic, weather, safety and fleet conditions. Make-good principles are in section 6.
  • Prices are in AUD and exclude GST unless stated. [Payment terms TBC, e.g. 50% on booking, balance 14 days before campaign start, or 30 days from invoice for approved accounts.]

3. Artwork and content

  • Specifications [TBC, confirm with hardware]: portrait screens, [resolution TBC] px, MP4 (H.264) or static JPG/PNG, [duration, e.g. 10 to 15 seconds], no audio unless audio is booked, maximum file size [TBC].
  • Artwork is due [5] business days before the start date. Late artwork may delay the start without changing the end date or price.
  • The Advertiser warrants that content complies with the law, the AANA Code of Ethics and relevant AANA codes, and does not infringe third-party rights. It must hold all licences needed, including for music, talent and trade marks.
  • Ad|MOTO may refuse or remove content that is unlawful or unsafe, or that may breach advertising codes, local council or road rules, or community standards. Location restrictions may apply (for example near schools for alcohol or gambling ads).
  • The Advertiser grants Ad|MOTO a licence to display the content for the campaign and to use campaign imagery in its portfolio, unless the IO says otherwise.

4. Cancellation and changes by the Advertiser

[Proposed sliding scale, TBC] - More than 30 days before the start: cancellation without charge, and any deposit refunded less reasonable costs already incurred (for example custom wrap production). - 15 to 30 days before the start: 50% of the campaign fee payable. - Fewer than 15 days before the start, or after the start: 100% of the remaining fee payable. - Special builds and wraps: production costs are non-refundable once production starts. - Date or creative changes are subject to availability and may incur fees.

5. Cancellation or suspension by Ad|MOTO

Ad|MOTO may suspend or cancel a campaign, wholly or in part, for safety, legal or regulatory reasons, unpaid fees, or events beyond its reasonable control (for example extreme weather, road closures or emergencies). For unpaid fees, Ad|MOTO will offer a make-good or a pro-rata refund of fees paid for undelivered plays.

6. Remedies and make-goods

  • If delivered plays fall short of the booked amount by more than [10%] (excluding Advertiser-caused delays), Ad|MOTO will provide, at the Advertiser's choice, equivalent make-good plays within an agreed period or a pro-rata credit or refund for the shortfall.
  • Australian Consumer Law: nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the ACL or other law that cannot lawfully be excluded. Where the ACL applies and Ad|MOTO's services fail to meet a consumer guarantee, the Advertiser is entitled to the remedies the ACL provides. Where liability may lawfully be limited, it will be limited to supplying the services again or paying the cost of having them supplied again.
  • Small business protections: the final terms will be reviewed against the ACL unfair contract terms regime (including the penalties in force since 2023), so that no term is unfair to small-business advertisers.

7. Liability and indemnity (outline)

  • Each party's aggregate liability is capped at [the fees paid or payable under the relevant IO], except for liability that cannot be limited by law, fraud, wilful misconduct, and the Advertiser's content indemnity.
  • The Advertiser indemnifies Ad|MOTO against third-party claims arising from the Advertiser's content.
  • Neither party is liable for indirect or consequential loss, subject to the ACL.

8. Data and reporting

Ad|MOTO will give the Advertiser campaign reports (for example plays, locations and times, and aggregated audience estimates). Reports do not contain personal information about riders or members of the public. See our Privacy Policy.

9. General

Confidentiality, force majeure, assignment, notices, dispute resolution (negotiation and then mediation before proceedings), and governing law: Queensland, Australia.
